Hidden Cost Items in Nutraceutical OEM: Sampling, Set-Up, Tooling and Surcharge Clauses Explained

Price friction in contract manufacturing rarely concerns the unit price on the quotation. It concerns the charges that sit outside it. The agreement says 0.35 per tablet; the invoice adds sampling, set-up, plates and expediting, and the effective price becomes 0.45. This is common across the industry and usually is not bad faith - these charges reflect real costs. The problem is that nobody itemised them up front. For brand owners, identifying them early and writing them into the agreement is far more effective than arguing afterwards. This checklist is worth working through during commercial negotiation on any nutraceutical OEM programme.

Hidden Cost Items in Nutraceutical OEM: Sampling, Set-Up, Tooling and Surcharge Clauses Explained

1. Sampling and sample charges

The sampling fee is usually the first extra. It covers material consumed in the trial, equipment time and labour, and is typically charged per run from a few hundred to several thousand currency units depending on format and formulation complexity. Two situations need separating: sampling from a manufacturer's existing formula library, which is often free, and bespoke development, which almost always carries a charge. The point worth negotiating is that the sampling fee is credited or refunded against the first production order - a widely accepted practice. Also confirm who pays courier costs for samples and what happens when the number of sampling rounds exceeds what was agreed; both are easy to leave vague in a verbal arrangement.

2. Set-up and short-run surcharges

This is the item most often mistaken for padding, and it reflects genuine cost. Changing a line over means clean-down, sanitation and set-up, and material is inevitably lost during start-up. Those costs are fixed and independent of order size: they spread thinly over a large run and have to be charged separately on a small one. Industry practice sets an economic batch threshold - perhaps 100,000 tablets or 5,000 filled bottles - below which either a set-up fee is charged per run or the unit price steps up. Brand owners have two options: take the first order above the threshold, or accept the fee but fix its amount and trigger conditions in the agreement so it cannot be invented later.

3. Tooling, plates and packaging customisation

Customisation charges include shaped tablet press tooling, depositing moulds for gummies and jellies, forming and sealing plates for blisters, blow moulds for bottle shapes, and print plates for gravure, offset or flexo work. These are generally payable in advance and non-refundable, running from a few thousand to tens of thousands. Two points need confirming in writing: ownership of the tooling and who is responsible for storing and maintaining it, and the expected tool life together with the cost of replacement. On packaging, the printer's minimum run is a separate hidden cost - if the order does not reach it, the brand either funds the shortfall or accepts a stock generic pack.

4. Expediting, testing and the rest

Expediting premiums are common in peak season: inserting a job into an existing schedule usually attracts either a percentage of order value or a daily rate. Testing is the most elastic line of all. An agreement that simply says "tested to standard" leaves room for later charges once pesticide residues, heavy metals or active assays are added. Settle the test list, the frequency - every batch or periodic type testing - and who pays for third-party analysis at signature. Other items that appear regularly include re-sampling after reformulation, retain and shelf-life validation stock, and freight for changes.

5. Raw material price adjustment clauses

This is the largest and most frequently omitted item. Whey protein, gelatin, fruit juice powders and probiotics move with commodity markets and exchange rates, and swings beyond 20 per cent within a year are not unusual. Fix a unit price with no adjustment mechanism and the manufacturer will either reopen the price when the market rises or quietly downgrade the ingredient specification to hold the number. A more workable structure sets a quotation validity period, commonly 30 to 90 days, a threshold - say 10 per cent movement - that triggers renegotiation, and a requirement to document the market evidence. Both sides then know what to expect and deadlock is avoided.

6. Writing the charges into the agreement

Concretely: attach a schedule of charges to the contract or quotation acceptance, itemising the sampling fee and its refund conditions, the set-up threshold and amount, tooling and plate costs with ownership, packaging minimums and how shortfalls are handled, the testing list and frequency, the expediting rate, freight and storage responsibilities, and quotation validity with the adjustment mechanism. Every item needs a clear trigger and a calculation method rather than a phrase such as "as actually incurred". Two hours spent completing that schedule before signature prevents most of the pricing disputes that would otherwise arise during the relationship. It is also worth agreeing a change-control process: any change to formula, packaging or process should be confirmed in writing, including its effect on cost and delivery, before it is executed.
